Overview

2. Scope of services
The project team is seeking assistance from a legal advisor across the following aspects of the project:
1. To develop the legal framework for the programme and any project components
2. Support processes to engage with industry.
3. Assist as required in finalising detailed policy design in relation to the commercial construct and allocation of risks, roles and responsibilities.
4. Based on the commercial and operating model developed by the project team, develop the contractual matrix for the project, including the draft contract construct and all related transaction documents.
5. Based on drafting instructions provided by the project team, draft the Ferry Operating Contract and all related transaction documents.
6. Provide advice on contractual issues relating to the contracts and transaction documents.

7. Draft contracts and provide input to tender documents and processes, review and advise
on supplier contractual terms.
8. Evaluate legal tender submissions and support wider evaluatons as required. Undertake/conclude negotiations.
9. Support the development of the Contract Management Manual.
10. Prior to contract signing, provide legal opinion assurance that the transaction is binding on its terms, on the security and financial management structure, on the revenue structure and current regulatory regime.
11. Support the compliance of contractual milestones by all relevant parties during the mobilisation period.
12. Other legal advice as may be required from time to time throughout the project in relation to the procurement of the new ferry operating contract, including, inter alia.
13. Working with other professional advisors will be a key requirement.
